A land sale agreement is a legally binding document between a seller (Vendor) and a buyer (Purchaser) that outlines the terms and conditions for the sale of land. In Kenya, the Law of Contract requires all land transactions to be in writing, signed, and witnessed to be valid.
Why a Written Agreement is Essential
Without a written, signed, and stamped Sale Agreement, it is nearly impossible to prove the existence of a land transaction in a court of law. A formal agreement protects both parties against fraud and provides a clear mechanism for enforcing terms in case of a breach.
Due Diligence Before Signing
The buyer must conduct thorough due diligence before committing any funds:
- Physical Visit: Check the land's layout and talk to neighbors to identify potential boundary or family disputes.
- Verify Ownership: Request the seller's National ID, KRA PIN, and a certified copy of the Title Deed.
- Official Search: Conduct a land search at the relevant Registry to reveal the registered owner(s) and any encumbrances (e.g., bank loans or court judgments).
Essential Components of the Agreement
A standard Land Sale Agreement in Kenya should include:
- Party Details: Full names, ID numbers, and postal addresses of both parties.
- Property Description: Location, size, registration number, and any fixtures or erections on the land.
- Payment Terms: The agreed purchase price, the deposit amount (usually 10%), and the installment schedule.
- Completion Documents: A list of documents the seller must provide, including the original title, executed transfer forms, and rates clearance certificates.
- Dispute Resolution: A clear mechanism for resolving disagreements.
The Completion Process
Completion is the final step where the buyer pays the balance of the purchase price, and the seller hands over the original title and all transfer documents. This must be done by the Completion Date specified in the agreement.
